Terms for clinics and healthcare providers participating in the Clea network.
1. Scope
These Provider Terms apply to each clinic, practice and healthcare provider that is approved to participate in Clea. They operate alongside any order form, fee schedule or written commercial agreement between Clea and the provider.
2. Independent healthcare provider
Providers participate in Clea as independent healthcare businesses. Clea does not employ the provider, supervise clinical care, direct diagnosis or treatment, or assume the provider’s professional obligations.
The provider remains solely responsible for clinical assessment, diagnosis, treatment, informed consent, prescribing, record keeping, professional standards, emergency escalation and continuity of care.
3. Credentials and compliance
The provider must maintain all registrations, licences, insurances, qualifications and approvals required to deliver the services it represents on Clea.
The provider must comply with applicable healthcare, privacy, advertising, consumer and professional conduct requirements, including relevant AHPRA requirements where applicable.
4. Accuracy of provider information
The provider must give Clea accurate and current information about its clinicians, services, areas of focus, locations, telehealth access, referral requirements, age groups, fees, booking contacts and availability.
The provider must promptly tell Clea when material information changes. Clea may pause or remove information that appears inaccurate, misleading, unsafe or out of date.
5. No clinical ranking for payment
A provider fee pays for workflow, analytics, team access or other agreed platform services. It does not buy a claim of clinical superiority, a “best provider” badge, a better patient match, a higher patient-experience rating or a higher position presented as clinical suitability.
Clea may order or filter providers using transparent practical factors such as pathway, age group, location, telehealth, service availability and member preferences.
Growth or Enterprise customers may purchase or receive clearly labelled sponsored Featured Partner placements in separate commercial modules. Sponsored placement must be disclosed as advertising and does not change the ordinary directory order, clinical matching logic, patient-experience ratings or Clea’s description of suitability.
5A. Patient experience ratings
Clea may display deidentified aggregate patient-experience ratings for an individual clinician and for the clinic. Ratings are separate from clinical-quality assessment, treatment outcomes and Clea’s care-navigation filters.
Public averages are shown only after Clea’s minimum verified-response threshold is met. A completed Clea appointment may verify a rating automatically; ratings from outside Clea may require manual verification.
A provider fee does not buy a higher rating, remove a low rating or change clinical ranking. Providers may report suspected fraud, mistaken identity or manipulation to Clea for investigation, but disagreement with a genuine patient-experience score is not by itself grounds for removal.
Clea may change verification and anti-manipulation controls as the network grows, provided those controls are applied independently of provider payment.
6. Patient handoffs and bookings
The provider may receive information only where the member has authorised a handoff or booking, or where another lawful basis applies.
The provider must use Clea handoff information only for appropriate patient contact, booking, assessment and care related purposes unless the member separately consents to another use.
The provider should respond to booking and handoff requests within a reasonable period and keep appointment status reasonably current where the Clea workflow supports it.
7. Patient information and privacy
The provider must protect personal and health information received through Clea and comply with all privacy, confidentiality, health records and security obligations that apply to it.
The provider must not use Care Profile information for unrelated marketing, list building, profiling or sale.
If the provider becomes aware of unauthorised access, disclosure, loss or misuse of Clea supplied patient information, it must promptly take appropriate action and notify Clea where the incident may affect Clea members or systems.
8. Clinical suitability and acceptance
A Clea handoff or booking request does not require a provider to accept a person for care. The provider must independently decide whether it can safely and appropriately provide the requested service.
If the provider cannot accept the person, it should communicate that outcome promptly and, where clinically appropriate and permitted, provide reasonable next step information.
9. Fees and billing
Clea may offer a free Directory profile, Clea Clinic, Clea Clinic Growth and separately scoped Enterprise arrangements. The current plan, price and included functionality shown at application or activation form part of the provider’s commercial arrangement unless another written agreement applies.
Clea Clinic and Clea Clinic Growth may be offered monthly by card or annually by card or invoice. Annual pricing may include a prepayment discount. Enterprise arrangements use custom commercial terms and may be invoice-led. An invoice request does not activate paid workflow until Clea records the agreed payment or another written arrangement expressly provides otherwise.
Any Clea network or platform fee is separate from fees the provider charges patients. Payment for a paid plan buys workflow, analytics, team access and/or disclosed commercial inventory; it does not buy clinical ranking or endorsement.
A clinic may pause new Clea intake at any time. A request to leave paid workflow pauses new intake immediately, but existing Clea appointment requests and patient-authorised handoffs must be resolved or safely transitioned before workflow access is closed. Cancelling paid workflow does not by itself remove an otherwise eligible free public listing.
The provider is responsible for the accuracy of patient facing fee, Medicare and funding information it supplies to Clea.
9A. AI-assisted clinic features
Where a paid plan includes AI-assisted summaries, Clea may summarise information that the member has authorised Clea to hand to that provider. These summaries are administrative and appointment-preparation tools, not clinical decision support.
The provider must independently review the underlying patient-supplied information and must not treat an AI-generated summary as a diagnosis, treatment recommendation, urgency assessment or determination of eligibility.
10. Booking and telehealth systems
Clea may link to the provider’s existing booking, practice management or telehealth systems. The provider remains responsible for those systems and for ensuring any link or access information supplied to Clea is accurate and appropriate.
11. Brand and profile content
The provider grants Clea permission to display approved provider names, clinic names, logos, profile images and factual service information for the purpose of operating and promoting the Clea provider network.
Neither party may imply an endorsement, partnership or clinical claim beyond what has been expressly agreed and can lawfully be made.
12. Service availability
Clea may change platform features, integrations and workflows as the product develops. We will take reasonable steps to avoid unnecessary disruption to live patient handoffs and bookings.
13. Suspension and removal
Clea may suspend paid workflow access where reasonably necessary for patient safety, legal compliance, security, non payment, misuse of the platform or a material breach of these terms. Suspending workflow does not automatically remove factual public directory information.
Clea may correct, suppress or remove a public profile where reasonably necessary because information is inaccurate, misleading, unsafe or unlawful, or after a verified profile opt-out/removal request. Whether a clinic purchases Clea workflow is not itself a basis for removal from the public directory.
A provider may ask to leave paid workflow subject to any applicable commercial terms and reasonable steps needed to complete or safely transition active patient matters. The provider may separately request correction or removal of its public listing through Clea’s directory process.
14. Liability and consumer rights
Each party remains responsible for its own acts and omissions. Nothing in these terms excludes rights or liabilities that cannot lawfully be excluded.
Clea does not assume liability for the provider’s clinical care, professional conduct, treatment decisions or patient outcomes.
15. Governing law and contact
These terms are governed by the laws of New South Wales, Australia, subject to any mandatory law that applies.
